Acceptable Use Policy
NexTech Advisors, LLC d/b/a Rivvet AI
Incorporated by reference into the Rivvet AI Master Services Agreement.
This Acceptable Use Policy (“AUP”) governs use of Rivvet’s platform, AI employees, hosted applications, and services (collectively, the “Services”) by business clients (“Client”). It is incorporated into the Master Services Agreement (“MSA”) and each Service Order. Capitalized terms not defined here have the meanings in the MSA. Violation of this AUP may result in suspension or termination of the Services.
1. PERMITTED USES
Client may use the Services solely for Client’s own legitimate business, including:
- Handling inbound communications and customer interactions
- Booking appointments and managing scheduling, intake, and follow-up
- Conducting outbound marketing to recipients who have provided legally required consent under CAN-SPAM, the TCPA, and applicable state law
- Operating consumer-facing commerce and service applications under Client’s brand
- Generating content and accessing analytics related to Client’s own operations
- Business operations within Client’s organization
2. PROHIBITED USES
2.1 Legal Violations.
Client shall not use the Services to:
- Violate any applicable federal, state, or local law, including CAN-SPAM, the TCPA, the CCPA/CPRA and other applicable state privacy laws, the FTC Act, or state consumer-protection laws
- Transmit communications that violate the TCPA, including calls or texts to numbers on the National Do-Not-Call Registry without proper consent
- Send commercial email in violation of CAN-SPAM, including failing to honor opt-out requests within the legally required timeframe
- Process or transmit data without required consumer consents or in violation of applicable privacy laws
- Engage in deceptive trade practices, false advertising, or conduct that violates FTC guidance
2.2 AI Misuse.
Client shall not direct AI employees to:
- Make false or misleading statements about Client’s business, services, pricing, or capabilities
- Impersonate any person, entity, or licensed professional, or fail to disclose the AI nature of an interaction where required by law
- Collect sensitive personal information (such as Social Security numbers, financial account numbers, or medical information) that is not necessary to deliver the Services
- Engage in harassing, threatening, abusive, or offensive communications
- Make commitments or representations on Client’s behalf that Client is not authorized to make
2.3 Platform Misuse.
Client shall not:
- Circumvent, disable, or interfere with any security feature of the platform
- Use the platform to send spam, malware, or phishing content
- Reverse engineer, decompile, or attempt to derive source code from the platform or AI models, or use the Services to build or train a competing product or service
- Share login credentials with unauthorized personnel or permit unauthorized access
- Transmit contact data obtained through unauthorized means, including purchased lists without proper consent documentation
2.4 Consent and Data Hygiene.
Client must maintain documentation of required consumer consents before providing contact data to Rivvet; honor opt-out and unsubscribe requests within legally required timeframes; maintain and consult applicable Do-Not-Call lists; keep contact data reasonably current; and provide accurate business information so AI employees communicate truthfully.
2.5 Consumer-Facing and Commerce Misuse.
For consumer-facing and commerce applications, Client shall not use the Services to:
- Present AI-generated diagnoses, price ranges, quote audits, or recommendations as definitive professional, medical, legal, engineering, or financial advice
- Misrepresent contractor referrals, partnerships, endorsements, or affiliations
- Omit consumer-facing disclaimers required by law or by the AI Service Addendum
- Configure AI outputs to encourage unsafe actions or to discourage consumers from seeking qualified professional help where warranted
3. CONTENT STANDARDS
All content provided to or generated through the Services must be accurate and not materially misleading, comply with applicable advertising and marketing laws, not infringe third-party intellectual property, not contain discriminatory content targeting protected characteristics, and not contain adult content, graphic violence, or other inappropriate material. For consumer-facing AI outputs, Client must configure the Services conservatively, escalate safety-sensitive or low-confidence situations to a human, provide a human-review path, and present appropriate disclaimers, as further described in the AI Service Addendum.
4. COMPLIANCE WITH AI DISCLOSURE LAWS
Client acknowledges that certain jurisdictions require disclosure that a caller or communicator is an artificial intelligence system. Client is responsible for ensuring AI employee interactions comply with all applicable AI disclosure laws in every jurisdiction where they operate on Client’s behalf. Rivvet implements general AI disclosure measures, but Client bears ultimate responsibility for jurisdictional compliance.
5. MONITORING & ENFORCEMENT
5.1 Monitoring.
Rivvet reserves the right, but has no obligation, to monitor use of the Services for compliance with this AUP, including reviewing AI interactions, campaign data, and platform activity to detect potential violations.
5.2 Enforcement.
If Rivvet reasonably believes Client has violated this AUP, Rivvet may: (a) provide written notice and require Client to cure within five (5) business days; (b) immediately suspend the relevant service or campaign pending investigation; or (c) terminate the MSA for material breach in accordance with its terms. These remedies do not limit any other remedy available under the MSA or applicable law.
5.3 Reporting Violations.
To report suspected AUP violations or issues with AI behavior, contact support@rivvetai.com.
6. CLIENT INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless Rivvet from any claims, damages, fines, penalties, or liabilities arising from Client’s violation of this AUP, including TCPA or CAN-SPAM violations or unauthorized data processing, as more fully set forth in the MSA.
7. CHANGES TO THIS POLICY
Rivvet may update this AUP with thirty (30) days’ notice by posting an updated version at rivvetai.com/legal/aup and notifying Client’s authorized contact of material changes. Continued use of the Services after the effective date constitutes acceptance.
